Position:    Associate – Transaction Diligence & Post-Closing Support

 

Location:    Atlanta, GA

 

Overview: GreenSky’s Strategic Relations Team integrates the GreenSky® Program’s Bank Partner loan origination efforts and its Capital Markets’ asset funding, distribution and sales processes. The Capital Markets team works closely with internal and external partners to coordinate asset funding and distribution via committed credit facilities, the asset-backed securitization (ABS) market, forward flow sales, bulk sales and other channels.

The role’s responsibilities include a variety of transactional-based initiatives, including: (a) supporting the lifecycle of GreenSky’s Capital Markets funding and sales transactions from origination through execution and post-closing; (b) with business leads/owners and transaction managers, maintaining adherence to time and responsibility (T&R) schedules to aggressively drive transaction closing; (c) establishing and maintaining a robust due diligence program for investors, lenders and rating agencies for both pre- and post-closing matters; (d) building and fulfilling on post-close deliverable playbooks across the transaction spectrum; and (e) in connection with the above, interacting with key stakeholders with particular consideration toward relationship management and delivering best in class support to GreenSky’s Capital Markets partners. 

Organizational: This position is a member of the Capital Markets Team within Strategic Relations, reporting to the Vice President of Capital Markets.

Duties & Responsibilities

  • Transaction management support across GreenSky’s credit facilities, ABS, forward flow sales and related transactions with a particular focus on diligence and ongoing, post-closing fulfillment.
  • Ensuring in-flight transaction velocity via adherence to internal and external T&R schedules with a focus on pre-close diligence and reporting items as directed by GreenSky’s Capital Markets’ business leads and transaction managers.
  • Depending on the nature of the transaction, successfully support the team’s engagement with external partners (e.g., investors and lenders) as well as third parties (e.g., trustees, custodians, accountants, legal counsel et al.).
  • Assist in all aspects of pre-closing diligence: (i) develop internal closing-related checklists relating to diligence and/or reporting requirements and (ii) coordinate collateral diligence functions (e.g., investor asset sampling, tape-to file diligence for Form ABS-15G filings et al.).  
  • Support post-execution transaction maintenance and administration, including implementation and delivery per deal-specific “playbooks” requiring ongoing diligence and/or operational reporting requirements of GreenSky.
  • Working with the Capital Markets business leads and its Director of Implementation, establish a comprehensive due diligence effort in support of the above, in pre- and post-closing environments, including (i) internal GreenSky deliverables such as KYC, legal, compliance, operational, financial and credit-related items and (ii) external partners and their respective third- party vendors.
  • Support the Director of Implementation in collateral-based management initiatives, including coordination of asset delivery and reporting in respect of custodial, verification and related operational processes.
  • To enhance that external dialogue, develop a deep understanding of GreenSky corporate developments, processes and performance; effectively apply that knowledge to ensure streamlined and consistent messaging among external partners and third parties.
  • Communicate effectively with management, including GreenSky colleagues in Credit Risk, Accounting, Controllers, Risk Management, Legal & Compliance, Treasury and Product Management, among others.

Required Skills/Qualifications

  • Bachelor’s degree with 3+ years of experience in specialty finance, consumer- and/or residential mortgage lending.
  • Demonstrated experience in due diligence, transaction/project management and execution.
  • Superior and demonstrable organizational skills, with a particular focus on corporate- and asset-level diligence capabilities.
  • Familiarity with asset-level verification and related collateral management processes.
  • Proven ability to coordinate, collaborate and cross-functionally work within a dynamic, fast-paced organization.
  • Clear and concise communication skills (written and oral) with exceptional attention to detail.

Preferred Skills & Qualifications:

  • 4+ years of capital markets experience in specialty finance lending, structured finance, consumer ABS or residential mortgage securitization.
  • Demonstrated experience implementing legal documentation requirements into ongoing diligence or reporting metrics (internal or external), operational plans and/or internal processes.
  • Successful, prior interaction with ABS issuers, credit rating agencies and/or institutional fixed income investors, particularly in the context of transaction management and due diligence.
  • Collateral management experience in the context of structured finance transactions, including tape-to-file diligence, large-scale collateral management, verification and custodial processes.
