Position:    Corporate Counsel

 

Location:    Atlanta, GA

 

Overview:

GreenSky is seeking a Corporate Attorney to serve as in-house counsel advising on a wide variety of legal and business issues.  This role will be responsible for general commercial legal advice and counsel, including supporting the Sales and Vendor Management teams, document drafting and negotiation, ensuring the adherence to GreenSky policies and procedures, supporting corporate functions and other projects as assigned.

Organizational: This position is a member of the Legal and Compliance Department, reporting to GreenSky’s General Counsel.

Duties & Responsibilities

Core Duties & Responsibilities:

  • Review, draft and help to negotiate a diverse range of commercial agreements and advise business colleagues on legal issues and risks, including with respect to Merchant and Sponsor agreements, vendor agreements, nondisclosure agreements and various other agreement and relationship types
  • Support General Counsel with various transactional matters, including managing bank partner relationships and strategic initiatives
  • Routinely provide guidance to various internal stakeholders regarding compliance with contractual requirements
  • Support General Counsel with various corporate functions, including subsidiary maintenance and Board and Committee processes
  • Coordinate with outside counsel in connection with specific assignments, review preliminary advice and provide internal recommendations
  • Assist with the development and maintenance of standard form agreements with core counterparties
  • Support other areas of the organization as matters arise, as part of a lean in-house legal team. Depending on expertise and interests, activities could include such items as HR, employment and employee benefit matters, accounting/finance matters, regulatory/compliance matters, servicing/operations matters and tax matters, among others

Required Skills/Qualifications

Required Skills & Qualifications:

  • Juris Doctor (JD) degree from a highly regarded American law school; admitted to practice law in the relevant jurisdiction based on location or as required by applicable bar rules
  • 5+ years of relevant experience as a corporate attorney working on a range of matters, including general contract and commercial law. Ideal candidate will have had experience at a major law firm, as well as in-house experience supporting various organizational functions
  • Knowledge of State and Federal consumer lending laws a plus, but not a requirement
  • Outstanding verbal and written communication skills
  • Strong analytical and problem-solving skills, with a keen attention to detail
  • Ability to assess, balance and mitigate risk and actively engage with various internal stakeholders to responsively address business and enterprise considerations
  • Ability to work effectively in a fast paced, high-tempo work environment
  • Excellent time management and organizational skills, with proven ability to manage numerous projects simultaneously, prioritize tasks efficiently and respond to client demands promptly.
  • Capacity to collaborate across different teams effectively within a high growth, dynamic organizational environment
